Terms & Conditions

Effective Date: October 13, 2026

Last Updated: October 13, 2026

These Terms & Conditions (“Terms”) govern your access to and use of caterahealth.com, related websites, online services, forms, assessments, communications, and other services offered or facilitated by Catera Health LLC (“Catera Health,” “Catera,” “we,” “us,” or “our”).

Please read these Terms carefully before using our website or purchasing any service.

By accessing our website, creating an account, submitting information, purchasing an assessment or other service, clicking an acceptance checkbox, or otherwise using Catera Health services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with these Terms, do not use our website or services.

1. About Catera Health

Catera Health provides health optimization-related administrative, educational, technology, coordination, and support services and may facilitate access to licensed healthcare professionals, laboratory testing, pharmacies, and other healthcare-related services.

Depending on the service and the state in which you are located, professional medical services may be provided by licensed healthcare professionals or professional medical entities that are separate from Catera Health LLC.

Licensed healthcare professionals are solely responsible for clinical decisions, including determining whether a particular laboratory test, treatment, prescription, medication, or other medical service is medically appropriate for a patient.

Catera Health does not control or direct the independent medical judgment of licensed healthcare professionals.

2. Eligibility

You must be at least 18 years old to use Catera Health services unless otherwise expressly permitted by applicable law and approved through an appropriate healthcare process.

By using our website or services, you represent that you are legally capable of entering into a binding agreement, the information you provide is accurate and complete, you are using the services for yourself unless expressly authorized otherwise, and your use of the services complies with applicable law.

Healthcare services may not be available in every state or jurisdiction.

Availability depends on factors including provider licensure, patient location, applicable law, clinical eligibility, pharmacy availability, laboratory availability, and other regulatory requirements.

3. Catera Health Assessment

Catera Health may offer an initial health assessment, consultation, evaluation, or similar service (“Assessment”).

The Assessment is intended to gather information regarding your health history, symptoms, goals, lifestyle, laboratory data, medications, and other relevant information and to help determine appropriate next steps.

Purchasing or completing an Assessment does not guarantee acceptance as a patient, access to any particular healthcare provider, a diagnosis, a prescription, a particular medication, testosterone replacement therapy, hormone replacement therapy, peptide therapy, weight-loss medication, any other treatment, a laboratory order, approval for treatment, or any specific clinical outcome.

Treatment recommendations and prescribing decisions are made exclusively by appropriately licensed healthcare professionals based on their independent medical judgment.

The fee for an Assessment compensates Catera Health and/or participating professionals for the services associated with the Assessment and is not a payment for a guaranteed prescription or treatment.

4. Laboratory Testing

Laboratory testing may be recommended or required as part of the Catera Health process.

Unless expressly stated otherwise at the time of purchase, laboratory testing is separate from the Assessment fee and may involve additional charges.

The type and extent of laboratory testing recommended may vary based on your medical history, goals, existing laboratory results, provider recommendations, state requirements, and clinical circumstances.

Catera Health may facilitate laboratory testing through third-party laboratories.

You are responsible for following laboratory preparation and testing instructions accurately.

Laboratory turnaround times are estimates only. Catera Health is not responsible for delays caused by laboratories, specimen issues, weather, transportation, technology failures, or other circumstances outside our reasonable control.

Laboratory results must be interpreted in the context of your individual health history and should not be interpreted independently as a diagnosis.

5. Healthcare Provider Evaluation

Some services require evaluation by a licensed healthcare professional.

You understand that a healthcare provider may determine that additional information is required, additional laboratory testing is required, an in-person examination is necessary, a proposed treatment is not medically appropriate, a particular medication should not be prescribed, you should seek treatment from another healthcare professional, you should be referred to a specialist, or Catera Health-facilitated services are not appropriate for your condition.

Clinical determinations are made based on professional medical judgment and may differ from your expectations or preferences.

Payment for an Assessment or other non-medication service does not require a healthcare provider to prescribe any particular treatment.

6. Telehealth Services

Certain healthcare services facilitated through Catera Health may be delivered using telehealth.

Telehealth may involve communications through video conferencing, telephone, secure messaging, electronic questionnaires, patient portals, or other electronic technologies.

Telehealth has benefits and limitations and may not be appropriate for every medical condition.

Before receiving telehealth medical services, you may be required to review and accept a separate Telehealth Informed Consent.

The Telehealth Informed Consent is separate from these Terms and governs matters specifically related to receiving healthcare through telehealth.

You may be required to confirm your physical location at the time of a telehealth encounter so the healthcare professional can determine whether they are legally authorized to provide care in that jurisdiction.

7. No Emergency Services

Catera Health is not an emergency medical service.

The website, patient portal, messaging systems, email, SMS, and telehealth services should not be used for medical emergencies.

If you believe you are experiencing a medical emergency, call 911 or go to the nearest emergency department immediately.

Do not rely on email, text messaging, website forms, or portal messages for urgent or emergency medical care.

8. Prescriptions and Medications

A prescription will only be issued when a licensed healthcare professional determines that a medication is medically appropriate and legally permitted.

No specific medication or prescription is guaranteed.

The provider may decline to prescribe a medication, change a proposed medication, adjust a dosage, require additional testing, recommend another treatment, or discontinue treatment based on clinical judgment.

Prescription availability may vary by state.

Certain medications may also be subject to additional federal or state requirements.

9. Compounded Medications

Some treatments, when prescribed by a licensed healthcare professional, may involve compounded medications prepared by appropriately licensed pharmacies.

Compounded medications are prepared for individual patients based on valid prescriptions and applicable law.

Compounded medications are not the same as mass-manufactured medications approved by the U.S. Food and Drug Administration (“FDA”), and FDA approval requirements applicable to commercially manufactured drugs may differ from requirements applicable to legally compounded medications.

Your healthcare provider is responsible for determining whether use of a compounded medication is clinically appropriate for you.

Availability of compounded medication may change based on law, regulation, FDA actions, pharmacy availability, ingredient availability, or other factors outside Catera Health's control.

Catera Health does not guarantee continued availability of any particular compounded medication.

10. Off-Label Use

Healthcare professionals may, when legally permitted and medically appropriate, prescribe an FDA-approved medication for a use, dosage, route of administration, or patient population that differs from the product's FDA-approved labeling.

This is commonly referred to as “off-label” prescribing.

Any decision regarding off-label use is made by the treating healthcare professional based on their independent medical judgment.

You should discuss the expected benefits, risks, alternatives, and uncertainties of any recommended treatment with your healthcare provider before beginning treatment.

11. Pharmacy Services and Medication Fulfillment

Prescriptions may be transmitted to third-party licensed pharmacies.

Pharmacies are responsible for dispensing medications in accordance with applicable law, pharmacy standards, and valid prescriptions.

Medication pricing, formulation, availability, processing time, shipping time, refill requirements, and fulfillment may vary.

Catera Health cannot guarantee that a pharmacy will accept a prescription, that a medication will remain available, a particular formulation, a particular manufacturer or pharmacy, exact delivery dates, continuous availability, or eligibility for refills.

Prescription medications generally cannot be returned or resold once dispensed. Refund eligibility for medication or pharmacy charges may therefore be limited once a prescription has entered fulfillment, subject to applicable law and the policies of the dispensing pharmacy.

12. Treatment Results and No Guarantee of Outcomes

Individual responses to healthcare interventions vary.

Catera Health and participating healthcare professionals do not guarantee any particular result, including weight loss, muscle gain, improvement in hormone levels, increased energy, improved sexual function, improved body composition, improved laboratory values, increased longevity, resolution of symptoms, prevention of disease, or any other specific health or performance outcome.

Results may depend on numerous factors including genetics, medical history, adherence, nutrition, exercise, sleep, medications, health conditions, lifestyle, and individual biological response.

Healthcare inherently involves uncertainty.

13. Your Responsibilities

You agree to provide truthful, current, complete, and accurate information regarding your identity and health.

This includes information regarding medical conditions, diagnoses, symptoms, current and previous medications, supplements, allergies, prior treatments, substance use, pregnancy or possibility of pregnancy where relevant, laboratory results, medical history, and other information requested by your healthcare provider.

You agree to promptly inform your healthcare provider of material changes in your health, medications, symptoms, or other relevant circumstances.

Failure to provide accurate or complete information may create serious health risks and may result in termination or suspension of services.

You are responsible for following instructions provided by your healthcare professional and for asking questions if you do not understand your treatment plan.

14. Fees and Payment

You agree to pay all fees disclosed to you before purchasing a service.

Prices may vary based on the services selected and may include separate charges for assessments, provider consultations, laboratory testing, medications, pharmacy services, shipping, memberships, coaching or optimization services, follow-up visits, additional testing, or other products or services.

Unless expressly stated otherwise, the purchase of one service does not include other services.

For example, an Assessment does not automatically include laboratory testing, medication, ongoing medical care, or coaching unless specifically stated at checkout.

All prices are displayed in U.S. dollars unless otherwise stated.

15. Payment Authorization

By submitting payment information, you represent that you are authorized to use the payment method provided.

You authorize Catera Health and its payment processors to charge the applicable fees disclosed at checkout.

You are responsible for ensuring that payment information remains accurate and current.

If a payment is declined, reversed, disputed, or otherwise unsuccessful, Catera Health may suspend fulfillment or access to affected services until payment is resolved.

16. Recurring Services and Automatic Billing

Certain services may be offered on a recurring or subscription basis.

Before enrolling in a recurring service, you will be provided with applicable pricing and material billing terms.

By enrolling in a recurring service, you authorize Catera Health or its payment processor to charge the payment method on file at the disclosed recurring interval until the service is cancelled.

Recurring services may include treatment programs, memberships, coaching, medication-related services, or other ongoing services where expressly identified.

You may cancel future recurring charges using the cancellation method made available through your account, patient portal, checkout terms, or by contacting Catera Health.

Cancellation stops future renewals after any applicable current billing period, subject to any specific terms disclosed when you enrolled.

Cancellation does not automatically reverse charges already properly incurred before cancellation.

Catera Health will not intentionally make cancellation materially more difficult than enrollment.

17. Cancellations, Refunds, and Non-Refundable Services

Refund eligibility depends on the type of service purchased and whether work, testing, clinical review, fulfillment, or other services have already begun.

Because healthcare services often involve costs that are incurred immediately, certain fees may become non-refundable once the associated service has been initiated.

This may include fees associated with completed or initiated Assessments, provider consultations, laboratory orders or laboratory testing, medical record review, prescription processing, pharmacy fulfillment, compounded medications, medications that have been dispensed or shipped, shipping, completed coaching services, or other services already performed.

Any specific refund or cancellation terms presented to you at checkout or at the time of purchase will also apply.

Nothing in this section limits refund or cancellation rights that cannot legally be waived under applicable law.

If Catera Health is unable to provide a purchased service and no reasonable alternative is available, we will address the affected charge in accordance with applicable law and the circumstances of the transaction.

18. Insurance and Reimbursement

Unless expressly stated otherwise, Catera Health services are offered on a cash-pay basis.

Catera Health does not guarantee that your health insurance plan, flexible spending account, health savings account, or other benefit program will reimburse any charge.

You are responsible for determining whether a service or expense is eligible for reimbursement under your insurance or benefit plan.

Any receipt, invoice, or documentation provided by Catera Health does not guarantee reimbursement.

19. Educational Content Is Not Medical Advice

Information available on the Catera Health website, social media accounts, emails, educational resources, videos, articles, treatment education pages, or other general communications is provided for informational and educational purposes.

General educational content is not individualized medical advice and does not establish a provider-patient relationship.

Do not begin, stop, or modify a medication or treatment solely based on general website or educational content.

Individual medical recommendations should come from an appropriately licensed healthcare professional who has evaluated your specific circumstances.

20. Provider-Patient Relationship

Simply visiting the Catera Health website, submitting a form, creating an account, purchasing an Assessment, or communicating with administrative personnel does not by itself establish a provider-patient relationship with a particular healthcare professional.

A provider-patient relationship is established only when the requirements of applicable law and the treating provider's clinical process have been satisfied.

Catera Health administrative or support personnel do not diagnose medical conditions, prescribe medication, or replace licensed healthcare professionals.

21. Privacy and Protected Health Information

Your use of our website is also subject to our Privacy Policy, available at:

caterahealth.com/privacypolicy

Certain health information may be protected under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) and other healthcare privacy laws.

Where applicable, protected health information is governed by the relevant Notice of Privacy Practices, available at:

caterahealth.com/notice-of-privacy-practices

The Privacy Policy and Notice of Privacy Practices are incorporated into these Terms where applicable.

22. Electronic Communications

By using Catera Health's online services, you agree that communications relating to your account or services may be provided electronically where legally permitted.

These communications may include appointment confirmations, laboratory notifications, payment receipts, account notices, treatment-related administrative communications, service notices, electronic agreements, disclosures, and other transactional communications.

Electronic records and electronic acceptance may be used to document your agreement to policies, consents, or other documents.

You are responsible for maintaining access to the email address and telephone number associated with your account.

23. SMS and Text Messaging

If you provide a mobile telephone number and consent to receive text messages, Catera Health may send transactional or, where separately authorized, marketing SMS messages.

Transactional messages may include appointment reminders, service notifications, account updates, and other communications related to services you requested.

Message frequency may vary.

Message and data rates may apply.

You may opt out of marketing SMS messages by replying STOP.

Consent to receive marketing text messages is not a condition of purchasing healthcare services unless otherwise permitted by applicable law.

Additional SMS terms presented at the point of enrollment may also apply.

24. Account Security

If you create an account or patient portal login, you are responsible for maintaining the confidentiality of your login information.

You agree not to share your credentials with unauthorized individuals.

You must promptly notify Catera Health or the applicable portal provider if you believe your account has been accessed without authorization.

Catera Health is not responsible for losses caused by your failure to reasonably safeguard your own login credentials.

25. Third-Party Services

Catera Health may integrate with or link to services operated by third parties, including patient portals, laboratories, pharmacies, payment processors, scheduling systems, telehealth platforms, shipping companies, healthcare providers, and other technology or healthcare vendors.

Third-party services may be subject to their own terms, privacy policies, and operating procedures.

Catera Health is not responsible for the independent acts, omissions, system availability, privacy practices, or contractual terms of third parties except where responsibility is imposed by applicable law.

26. Website Availability

We attempt to maintain reliable access to our website and online systems but do not guarantee uninterrupted availability.

Services may occasionally be unavailable due to maintenance, software updates, internet outages, hosting failures, cybersecurity events, third-party system failures, natural disasters, or other circumstances outside our reasonable control.

We may modify, suspend, or discontinue website features where reasonably necessary.

27. Prohibited Use

You may not use the Catera Health website or services to violate applicable law, impersonate another person, submit false or fraudulent information, obtain prescriptions or healthcare services through misrepresentation, attempt to obtain medication for another person, attempt unauthorized access to systems or records, introduce malicious software, interfere with website functionality, scrape or extract data without authorization, infringe intellectual property rights, harass healthcare providers, staff, or other users, or use Catera Health services for fraudulent, illegal, or abusive purposes.

Catera Health may suspend or terminate access where reasonably necessary to protect patients, providers, systems, or the organization.

28. Intellectual Property

Unless otherwise stated, the Catera Health website and its original content, design, graphics, logos, trademarks, educational materials, software, text, and other materials are owned by or licensed to Catera Health and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable right to access the website for personal, lawful use.

You may not reproduce, distribute, modify, sell, license, commercially exploit, or create derivative works from protected Catera Health materials without prior written permission except as permitted by law.

29. Website Disclaimer

To the fullest extent permitted by applicable law, the public-facing website and general educational materials are provided on an “as available” basis.

Catera Health does not warrant that general website content will be error-free, uninterrupted, or suitable for diagnosing or treating any particular medical condition.

This disclaimer applies to general website and administrative services and is not intended to eliminate or limit professional standards of care, legal duties owed by licensed healthcare professionals, or rights that cannot lawfully be waived.

30. Limitation of Liability

To the fullest extent permitted by applicable law, Catera Health will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising solely from your use of the public-facing website or general administrative services.

This limitation is not intended to limit liability that cannot legally be limited, including any rights or remedies relating to professional medical care that applicable law does not permit to be waived.

Nothing in these Terms is intended to excuse fraud, willful misconduct, gross negligence, violations of applicable healthcare law, or other liability that cannot lawfully be excluded.

31. Indemnification

To the extent permitted by law, you agree to be responsible for losses, claims, or expenses arising from your unlawful use of the website, intentional misuse of Catera Health systems, fraudulent information you knowingly provide, infringement of another person's rights, or material violation of these Terms.

This provision does not require you to indemnify Catera Health for conduct for which indemnification cannot legally be required.

32. Suspension or Termination of Services

Catera Health may suspend or terminate access to administrative or website services when reasonably necessary due to nonpayment, fraud, abuse, threatening behavior, misuse of systems, material violation of these Terms, legal or regulatory requirements, provider or pharmacy availability, safety concerns, or other circumstances that make continued service inappropriate.

Healthcare professionals may separately determine whether continuation of medical treatment is clinically appropriate and must comply with applicable professional and legal requirements relating to termination of a provider-patient relationship.

Termination does not eliminate payment obligations for services already provided.

33. Changes to Services, Treatments, and Pricing

Healthcare regulations, medication availability, pharmacy relationships, laboratory options, provider availability, technology, and costs may change.

Catera Health may modify available services, pricing, features, laboratory options, provider networks, pharmacy relationships, or treatment offerings from time to time.

Changes will not authorize retroactive charges that were not properly disclosed or agreed to.

If a recurring service changes materially, any notices required by applicable law will be provided.

34. Changes to These Terms

We may update these Terms periodically to reflect changes in our services, business practices, technology, or applicable law.

The current version will be posted on this page with an updated “Last Updated” date.

Where required by law, we will provide additional notice of material changes.

Your continued use of the website after an updated version becomes effective constitutes acceptance of the updated Terms to the extent permitted by law.

35. Governing Law

Except where applicable law requires otherwise, these Terms and disputes concerning the use of Catera Health's website or administrative services will be governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Nothing in this provision eliminates consumer protections or healthcare rights that apply to you under the laws of the state in which you reside or receive healthcare when those protections cannot legally be waived.

36. Venue

To the extent permitted by applicable law, disputes relating solely to these Terms, the Catera Health website, or Catera Health's administrative services shall be brought in a court of competent jurisdiction located in or serving Pinellas County, Florida.

This provision does not override venue requirements that cannot legally be waived and does not independently determine the appropriate forum for professional medical claims involving a licensed healthcare provider.

37. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Any invalid provision will be interpreted or limited to the minimum extent necessary to make it enforceable where legally permitted.

38. No Waiver

Catera Health's failure to enforce a provision of these Terms does not waive its right to enforce that provision later.

A waiver is effective only if expressly made by an authorized representative and does not constitute a continuing waiver unless expressly stated.

39. Entire Agreement

These Terms, together with applicable policies, consents, purchase terms, and agreements presented in connection with a specific Catera Health service, constitute the agreement governing your use of the applicable website or service.

In the event of a conflict between these general Terms and specific terms expressly presented for a particular service, the more specific terms will control for that service to the extent permitted by law.

Clinical informed consent documents govern clinical consent matters and are not replaced by these Terms.
